2. When should a new company submit the Tax Return?

Company Formation

1. What are the requirements of shareholders and directors for incorporating a limited company in Hong Kong?
  The shareholders and director should over 18 years old, Hong Kong residents or non Hong Kong residents.
 
2. What documents need to provide in the incorporation of a limited company?
  Company should provide a Hong Kong address as a registered address, a Hong Kong resident or professional company as a legal company secretary. Also, company should provide the copies of the shareholders and directors addresses, ID cards or passports. If the legal secretary is a company, it should provide a copy of certificate of incorporation and business registration certificate.
 
3. How long will spend for incorporating a Hong Kong Company?
  11 work days.
 
4. Does the company not indicate the business nature on the business registration certificate, and does it restrict the expansion of the company business?
  If the company does not want to indicate the nature of business, it may not be specified. Business registration certificate does not restrict the expansion of the business of the company, which only refers to main business activities of the company.
 
5. How to calculate the obligation incurred by limited company?
  The obligation of the company incurs on the issued shares, and no obligation on un-issued shares.
 
6. What languages can be used in the name of the company?
  Company can use Chinese or English, Arabic numbers in the name but Chinese and English cannot be used together.
 
7. Does the company not include the word “Limited Company” or “Limited” in the company name?
  No. Limited Company incorporated in Hong Kong should include its name with the words “Limited Company” or “Limited” in order to indicate that shareholders should bear limited liability for future obligation.
 
8. What is the difference between authorized capital and issue of shares?
  Issue authorized capital should be registered with Government first. Issue shares should be made after capital is registered, and should not exceed the authorized capital. Shareholders should pay the issued shares on proportion of shareholding instead of authorized capital.
 
9. What is the meaning of authorized capital?
  The authorized capital represents the company’s maximum financing capacity and Shareholders’ maximum liability.
 
10. How much authorized capital will be needed in company formation?
  The standard authorized capital of Hong Kong limited company should have HK$10,000.
 
11. What is the fee required to pay for increasing authorized capital?
  Hong Kong Government will charge 0.1% Stamp Duty per share, no matter how much authorized capital is increased, the maximum charge of Stamp Duty is HK$30,000.
 
12. Can Overseas Company operation in Hong Kong without declaration to Hong Kong Government?
  No. According to Section 11 of Companies Ordinance of Hong Kong, company incorporated in any country or region, which operates business in Hong Kong, should apply business registration certificate and declare tax, and the company should be registered as one Overseas Company incorporated in Hong Kong.
 
13. What is the minimum amount of authorized capital for incorporating overseas company?
  The amount of authorized capital in Overseas Company depends on the size of operation and the purpose from clients. Also, the requirements for authorized capital can vary in different countries, please refer to the Comparison Chart of Register Hong Kong and overseas companies.
 
14. Can Overseas Company use Chinese company name?
  It depends on the requirements of each country, for example, in BVI and Samoa, they allow the company use Chinese name as Company name.
 
15. What are the requirements of Overseas Company to open bank account?
  Company should provide the following documents:

1. What’s a Company Secretary?
  According to the Hong Kong Companies Ordinance, limited company should appoint a Company Secretary, in charge of arranging meetings, keeping minutes of meetings, and presenting statutory documents to governmental department, to ensure the company meet s statutory requirements, and to help opening bank account.
 
2. What is the qualification for Company Secretary?
  Hong Kong resident over 18 years old for a person, or limited company registered in Hong Kong for corporate entity.
 
3. Can non Hong Kong resident act as Company Secretary?
  Company Secretary should be Hong Kong resident or Hong Kong Limited Company.
 
4. If there is no eligible person to act as statutory secretary of the company?
  If no company secretary can be employed, we can provide the service of statutory secretary. (Detailed in Corporate Secretarial Service)
 
5. Does a company need to have office or address in Hong Kong to register company?
  Company to be registered in Hong Kong needs a Hong Kong registered address instead of its own office. We can provide company registered address service.
 
6. Must the registered address of the company be in Hong Kong?
  Every company registered in Hong Kong must have a Hong Kong address.
 
7. Can the company change the registered address?
  A company can change its registered address at any time.
 
8. How can a registered company open a bank account?
  All shareholders and directors must attend the bank account opening procedure, but the requirements of banks can be different. The company should carry on its incorporation documents to open account at bank, and can also choose to open account at foreign bank in Hong Kong or Mainland.
 
9. What documents are needed in opening bank account?
  Company should provide the following documents:
  ✦ The original minutes of meetings approving opening of account
  ✦ Copy of Certificate of incorporation (Certified by accountant)

10. Does the company bank account operated by shareholders or directors?
  The operation of account can be delegated to third party through delegation, or operation by shareholders and directors.
 
11. If directors failing to attend procedures in Hong Kong and can they process relevant procedures in Mainland?
  Directors who desire to open bank account in Hong Kong should come to Hong Kong to process relevant procedures. Directors who are not able to come to Hong Kong can also choose to open offshore account with foreign bank in Mainland.
 
12. Should the banks charge handling fee to open bank account in Hong Kong?
  Banks do not charge handling fee, but company should deposit a certain sum of money. For overseas company the banks will be charged certain handling fee for opening account.
 
13. Can we operate bank account immediately?
  Banks will check the register after account is opened, generally for 2 weeks before the account can operate.
 
14. Can non Hong Kong resident operate bank account of a Hong Kong company?
  Yes. Generally, the bank only asks account operator to hold valid passport or travel permit and ID card.
 
15. Which cities in Mainland can be used to open offshore account? How does the offshore account operated in foreign land?
  Currently, some foreign banks in Beijing, Shanghai, Shenzhen, Guangzhou, Tianjin, Hangzhou, Dalian, Xiamen and other cities can provide service of opening offshore account s. Clients in foreign country can direct the bank to operate the account by personal passwords, through telephone and internet.
 
16. What are the differences between Hong Kong local and Mainland offshore accounts in operation?
  Capital is not restricted to come in or go out of Hong Kong, but offshore account is opened by foreign bank in China, under control of Chinese financial management body. Offshore account in China does not accept cash deposit.

Personal Tax Service

1. My parents over 60 year-old and they are Hong Kong resident, but have removed to mainland, then can I apply for dependent parents allowance?
  If your dependent parents don’t want to continue living in Hong Kong, and visit home located in Hong Kong, they will not be deemed to be always living in Hong Kong, and you will not meet the requirements for application. However, if your parents live in mainland, they will be deemed to be always living in Hong Kong, and you can apply for dependent parents allowance in respect of them.
 
2. We have two children, can each of us apply for child allowance of one child?
  One of the couple should apply for all child allowance. It’s more favorable for one of the couple who earns higher income to apply for child allowance. However, if one of the couple is assessed at standard tax rate, it’s more favorable for the other to apply for child allowance.
 
3. Can an illegitimate child apply for child allowance?
  If child meets the requirements of application for child allowance, his/her parent whether duly married or not, can apply for this child allowance.
 
4. Does the child allowance have the limitation of age?
  A child under 25 years old and study in full-time education can apply for this child allowance.
 
5. Can I apply for “single parent allowance”, if my wife does not have job?
  According to Inland Revenue Ordinance, “single parent” refers to taxpayer being single, widowed or separated all the year round, and who raised children solely or mainly by his/herself in that year, and only this kind of parent can obtain “single parent allowance”.

Corporate Tax Service

1. When should a company submit the Tax Return once incorporated?
  Every company will receive their first Profit Tax Return from the IRD after 18 months of incorporation. Then company will receive the Profit Tax Return in April every year.
 
2. How to submit the Profit Tax Return for a company?
  The accounts of a company should be audited by a Certified Public Accountant before submitting to the IRD together with an auditor report and Profit Tax Return.
 
3. How to pay the tax?
  When the Profit Tax Return is submitted to the IRD, IRD officer will issue a notification of tax payable to the company. The company should pay the tax before the due date.
 
4. What is the consequence for an overdue tax payable?
  A 5% of surcharge will be applied to the tax payable for the overdue payment. An addition of 10% (the first 5% included) surcharge will be applied to the tax payable after 6 months of overdue. Finally, a maximum penalty may be applied by a district court from the IRD.
 
5. Does every company need to submit the Profit Tax Return to the IRD?
  Not required. However, all companies should submit a Profit Tax Return to the IRD every year for the assessment of the tax payable.
 
6. What situation does a company has to pay Profit Tax?
  A Profit Tax should be paid only when a company generated a profit in the financial year.
 
7. What is the consequence of not submitting a Profit Tax Return to the IRD?
  A penalty of few thousand dollars or above if a Profit Tax Return is not submitted before the due date. A maximum penalty may also be applied by a district court from the IRD finally.
 
8. Does it required to submit the Profit Tax Return if the business of the company not commenced its business in the financial year?
  Companies requested to submit the Profit Tax Return to the IRD even if the company has not commenced its business in the financial year.
 
9. Does it required to submit the Employer Return of staffs who are not Hong Kong residents?
  The Employer Return should submit all staffs record if his/her annual income exceeds HK$100,000.- in the financial year.
 
10. What is the meaning of the notification of “no Profit Tax Return to be issued in 3 years” after the first submission of Profit Tax Return?
  The notification of “no Profit Tax Return to be issued in 3 years” It means that the IRD will not issued the Profit Tax Return for 3 years. However, if the company recorded a profit in the financial year, it has the responsibility to apply for the Profit Tax Return and submit it to the IRD with an Audited Account.

1. What is a trademark?
  A trademark is a sign that distinguishes the goods and services of one trader from those of others. Typically a trademark can be words (including personal names), indications, designs, letters, characters, numerals, figurative elements, colours, sounds, smells, the shape of the goods or their packaging or any combination of these. A sign must be capable of being represented graphically in order for it to be registered as a trademark.
 
2. What is a patent?
  A patent protects your invention by giving you, the patent owner, a legal right to prevent others from manufacturing, using, selling or importing your patented invention.
 
3. If I file an application for registration in Chinese, can the certificate of registration be in English?
  If you file an application in Chinese, the certificate of registration will be in Chinese. Similarly if you file the application in English, the certificate of registration will be in English.
 
4. Can I write to you in Chinese if I have filed an application for registration in English?
  Yes, if you have filed an application in English, you can write to us in Chinese, and we will respond to you in Chinese. But if the application is accepted, the particulars of its publication, the certificate of registration, and any opposition proceedings will be in English because you cannot change the details of your application for registration.
 
5. How long will the whole trademark application process take?
  Upon receipt of the application, the examiner will process the application according to the Trade Marks Ordinance and Trade Marks Rules. If there is no deficiencies and no opposition, the whole process (from receipt of application to the application being approved) will take as short as six months.
 
6. Is it necessary to file an individual trademark application form for each item of goods and/or services?
  No. Each trademark application may include more than one item of goods and/or services. The application fee is HK$2,000 or above and plus an additional fee per additional class (if any).

In the absence of such information, we reserved the right to invoice your company for extra bank charges incurred for checking the the source of payment.

➨ The net amount received in our bank account in Hong Kong is the one recognized as payment;

➨  Kindly noted that for each transaction / payment, client(s) is responsible for bank charges and handling fee etc.;

➨  Our invoice is in HKD. Therefore, exchange difference should be client’s expense when client pays in non-HKD currency; and

➨  Payment to bank account or by cash outside of Hong Kong in certain currency (such as RMB) will incur additional handling fee – to bring the money back to Hong Kong – and such processing will be client’s expenses.
