According to Hong Kong Company Ordinance, every Hong Kong company must have a company secretary that must be
- A Hong Kong resident; or
- A body corporate which has its registered office or a place of business in Hong Kong.
Responsibilities of the Company Secretary include:
- Submit annual return to Company Registry;
- Maintain Shareholder(s) and Director(s) record; and
- Report to the Companies Registry about the company’s transactions or activities, for example: change of equity, pledge of assets and so on.

Significant Controllers Registers
Significant Controllers Registers
According to the new requirements – Significant Controllers Registers (“SCR”) <>, with effect from 1st March 2018, a Hong Kong incorporated company will need to maintain a
significant controllers register (“SCR”) which has to be accessible by law enforcement officers upon demand.
In addition, a “designated representative” has to be appointed to provide assistance relating to the Company’s SCR to a law enforcement officer.
Failure to comply with the SCR obligations or made false statement is a criminal offence. The Company and every responsible person of the Company are liable to a fine at level 4 (i.e. HK$25,000) and a daily fine of HK$700.

1. Certified True Copies

2. Notarization by Hong Kong Notary Public

3. Apostille by Hong Kong High Court
To open a bank account in a foreign country, clients must order a set of documents with apostille. Apostille means the court will certify a true copy and deposit a red ribbon to attach all pages. Please noted that documents foe apostille in Hong Kong is based on Hague Convention requirement.

4. China Attestation (Commercial Documents) by China-appointed Attesting Officer
When it is required to provide documentary evidence to prove the authenticity and legality of some acts, matters and documents of legal significance occurring in or originating from Hong Kong to facilitate the business activities (e.g. WFOE) in Mainland China, China attestation service is to prepare and attest the documents, including commercial documents, attestation of company status and necessary power of attorneys for use in China.

In its simplest form, an exporter required an importer to prepay for goods shipped. The buyer wants to reduce risk by requesting the exporter to document that the goods have been shipped. The buyer’s bank assists by providing a Letter of Credit (L/C) to exporter (or the exporter’s bank) providing for payment upon presentation of certain documents, such as Certificate of Origin (CO), Bill of Lading and etc.
